Rolling Door Manufacturing (“RDM”) grants you (“User”) permission to view this Site, www.rolling-door.com (“the Site”) and to print individual pages from this Site for your own personal, noncommercial use, provided that you agree to and accept without modification the notices, terms and conditions set forth in this agreement (“Terms”). You may not modify, copy (except as set forth in the preceding sentence), distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, material, software, products or services from this Site.

Your use of this Site constitutes your agreement and acceptance without modification of the notices, terms and conditions set forth herein. TERMINATION

A User's limited license to use materials from this site will terminate immediately without notice from RDM if a User fails to comply with any term or provision of these Terms, and the User is obligated immediately to destroy all information obtained from this Site and discontinue any other use of the information obtained through Users' access to this Site. Any license to any copyright or trademark provided by these Terms, whether express or implied, terminates immediately upon such termination.

INDEMNITY

The User agrees to indemnify and hold RDM and its affiliates harmless from and against any and all claims, losses, liability, costs, and expenses (including, but not limited to, attorneys' fees) arising from the User's violation or breach of these Terms, arising from the User's violation of any third party's rights such as trademark, copyright, proprietary and privacy rights, or arising from User's violation of any applicable federal, state or local law, regulation or ordinance. This indemnification and hold harmless obligation will survive the termination of these Terms.

GENERAL

The User's access to and use of this Site and information available on or through this Site are subject to and shall be governed by and construed in accordance with all applicable federal laws of the United States and applicable laws of the State of Ohio and local governmental entities. RDM and User irrevocably consent to the exclusive jurisdiction of the courts located in Holmes County, Ohio and the federal courts situated in the State of Ohio in connection with any action arising under or in connection with these Terms or relating to the User's access of this Site, or any information available on or through this Site.

Use of this Site is unauthorized in any jurisdiction that does not give full effect to all provisions of this agreement, including without limitation this paragraph and the warranty disclaimers and liability exclusions above. RDM has endeavored to comply with all legal requirements known to it in creating and maintaining this Site, but makes no representation that materials on this Site are appropriate or available for use in any particular jurisdiction. Use of this Site is unauthorized in any jurisdiction where all or any portion of this Site may violate any legal requirements and you agree not to access this Site in any such jurisdiction. You are responsible for compliance with applicable laws. Any use in contravention of this provision or any provision of this agreement is at your own risk and, if any part of this agreement is invalid or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall govern such use.

You agree that RDM may at any time and without notice change the terms and conditions and notices under which this Site is offered.

You agree that no joint venture, partnership, employment or agency relationship exists between you and RDM as a result of this agreement or your use of this Site.

RDM’s performance of this agreement is subject to existing laws and legal process and nothing contained in this agreement is in derogation of RDM’s right to comply with law enforcement requests or requirements relating to your use of this Site or information provided to or gathered by RDM with respect to such use.

This agreement constitutes the entire agreement between you and RDM with respect to this site. This agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and RDM with respect to this Site. No modification of this agreement shall be effective unless it is authorized by Rolling Door Manufacturingoration or its affiliates, or unless it is physically signed by a RDM officer. Any alleged waiver of any breach of this agreement shall not be deemed to be a waiver of any future breach. A printed version of this agreement and/or of any notice given by RDM in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement or your use of this Site to the same extent and subject to the same conditions as other business documents and records originally generated and maintained by RDM in printed form.
